These Terms of Service (“Terms”) govern your use of digiocular.com and the services Digiocular (“we”, “us”) provides. By using the site or engaging us for services, you agree to these Terms.
Service description
Digiocular is a one-point digital agency based in India, India. We provide website development, social media management, performance advertising, brand identity, content creation, e-commerce solutions, AEO/GEO optimisation, WhatsApp marketing, and bespoke internal tooling. Specific scope, deliverables, and timelines for each engagement are defined in a separate written proposal or statement of work (SOW).
Acceptable use
You agree not to use the site or our services to:
- Violate any applicable Indian or international law.
- Send spam, attempt to phish users, or otherwise misuse contact channels.
- Attempt to gain unauthorised access to our systems or to a third party’s systems via our services.
- Infringe the intellectual property rights of any party.
- Submit content that is obscene, defamatory, hateful, or designed to harass any individual or group.
We reserve the right to refuse or terminate service to any party engaging in the above.
Payment & deliverables
All commercial engagements are governed by a written proposal or SOW that specifies fees, payment schedule, deliverables, and timelines. Unless otherwise stated:
- Fees are quoted in US Dollars ($) unless otherwise noted in the proposal, and are exclusive of applicable taxes.
- Project work typically requires a 50% advance with the balance due on delivery. Retainer work is billed monthly in advance.
- Invoices are due within 7 days of issue. Late payments may attract a 1.5% per month carrying charge and may pause delivery.
- Third-party costs (ad spend, hosting, BSP fees, paid tools) are passed through transparently and billed separately unless the SOW says otherwise.
Intellectual property
All deliverables created specifically for a client engagement (logos, websites, content, designs) transfer to the client upon full payment of the engagement fee. Pre-existing Digiocular IP — internal frameworks, tooling, components, templates we’ve developed prior to or independently of the engagement — remains our property and is licensed for client use as part of the deliverable.
We retain the right to display non-confidential work in our portfolio and case studies unless the SOW expressly opts out.
Liability
Our total liability under any engagement is capped at the fees paid by the client to Digiocular in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, loss of profits, or loss of data, except where Indian law prohibits such limitation.
All deliverables are provided on an “as is” basis unless an SOW expressly provides warranties. We make no guarantee of specific marketing outcomes (rankings, conversions, citations) — these depend on factors outside our control.
Termination
Either party may terminate an ongoing retainer with 30 days’ written notice. Project engagements may be terminated for material breach uncured within 14 days of written notice. Upon termination, client owes fees for work completed up to the termination date plus any non-cancellable third-party commitments incurred on their behalf.
Confidentiality
Each party agrees to keep the other’s non-public business information confidential. This obligation survives termination by 3 years.
Governing law
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at India, Uttar Pradesh, India.
Changes
We may update these Terms from time to time. Material changes will be communicated to active clients and noted at the top of this page. Continued use of the site or services after a change constitutes acceptance.
